|  | Mr. Thomas specializes in business structures, venture capital, financings, banking, finance, and corporate transactions. He has over 25 years of experience in the areas of mergers and acquisitions (domestic and foreign), business formations and management issues (for both for profit and non-profit entities), venture capital financing (including the formation and structure of investment partnerships and related fund raising and management entities), and corporate governance for both private and public companies. He acts as outside general counsel for numerous companies, attending board meetings and assisting in the development of management, personnel, acquisition, and divesture strategies.
Mr. Thomas is best known for having guided and advised several small, entrepreneurial enterprises through the process of becoming regional and national leaders in their industries. A sample of representations reflecting the scope and range of Mr. Thomas' transactional acumen includes: leading a team of attorneys in assisting a large media group owner in successfully consolidating its internal ownership, implementing a national acquisition strategy, initiating an IPO, and structuring favorable public and private financing arrangements; assisting a large automotive group owner in successfully consolidating its internal ownership and implementing a strategy of geographical consolidation; preparing and presenting a governance evaluation for a large international medical research company; created new governance documents and procedures for a well known private educational institution in preparation for its re-accreditation review, management overhaul, and board restructure; successfully leading a team of attorneys in the defense of politically motivated accusations and litigation against the management of a public company; traveling to the Peoples Republic of China (the "P.R.C.") and successfully negotiating a joint venture agreement between Chinese and U.S. broadcast equipment manufacturers and assisting in the preparation of a joint bid through the World Bank for the delivery and placement of broadcast products in the P.R.C.; traveling to West Africa on behalf of a U.S. company and successfully negotiated an agreement for the distribution and installation of broadcast equipment.

|  | Mr. Thomas is an active contributor to his community and has demonstrated civic and charitable involvement in a host of endeavors, from the arts, education, and healthcare to historical interest and advocacy. He has served as a long time Trustee for Calvert School and the Greater Baltimore Medical Center and actively supports, in a variety of capacities, several children's recreational and education counsels serving both Baltimore City and Baltimore County.
